TERMS OF SERVICE

These Terms of Service govern access to and use of the XS//SASS website, online store, physical merchandise, digital products, credentials, accounts, content, and related experiences.

XS//SASS is a brand operated by Clinical Innovation Solutions, LLC, a Texas limited liability company. In these Terms, “XS//SASS,” “we,” “us,” and “our” refer to Clinical Innovation Solutions, LLC and the XS//SASS brand.

By accessing the website, creating an account, submitting an order, claiming a credential, or using an XS//SASS product or service, you agree to these Terms.

1. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction.

A minor may use the website or purchase merchandise only with the authorization and supervision of a parent or legal guardian.

You may not use the website, merchandise, credentials, or services for any unlawful, fraudulent, abusive, deceptive, or unauthorized purpose.

2. Products and Availability

Most XS//SASS merchandise is individually produced after an order is submitted.

Product availability, materials, dimensions, colors, print placement, finish, and appearance may vary slightly from photographs, renderings, or digital mockups. Reasonable production variations are not considered defects.

We may change or discontinue merchandise, designs, prices, promotions, features, digital experiences, or services at any time without prior notice.

We reserve the right to limit quantities, reject orders, or cancel transactions involving suspected fraud, payment problems, technical errors, pricing errors, unauthorized resale, misuse, or other legitimate business concerns.

3. Orders

You are responsible for reviewing all product selections, sizes, colors, quantities, customization details, billing information, and shipping information before submitting an order.

An order confirmation acknowledges receipt of your order but does not constitute final acceptance.

We may reject or cancel an order because of product unavailability, payment failure, suspected fraud, legal restrictions, incorrect pricing, technical errors, production limitations, or other legitimate business reasons.

When XS//SASS cancels an unfulfilled order, the applicable payment will be refunded.

4. No Customer Cancellations or Modifications

Products are made specifically for each order and may enter production immediately.

Customer-requested cancellations and modifications are not accepted after an order is submitted. This includes requests to change the product, design, size, color, quantity, or shipping destination.

This restriction does not apply where cancellation or another remedy is required by applicable law.

5. Final-Sale Policy

All physical and digital products are final sale.

We do not accept ordinary returns or exchanges. Defective, damaged, misprinted, or incorrect merchandise may qualify for replacement under our Refund and Replacement Policy, which is incorporated into these Terms.

6. Pricing and Payment

Prices are displayed in U.S. dollars unless otherwise stated.

Applicable taxes, shipping charges, and other disclosed charges may be added during checkout.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our payment processors to charge the full order amount.

We may correct pricing, description, or technical errors. When an error affects an order already submitted, we may contact you, correct the transaction, or cancel and refund the affected order.

7. Shipping and Delivery

Production and delivery dates are estimates unless expressly identified as guaranteed.

Merchandise may be manufactured and shipped by third-party production and fulfillment providers. Products within the same order may be produced at different facilities and delivered separately.

We are not responsible for delays caused by carriers, weather, natural disasters, customs, labor disruptions, supply shortages, incorrect addresses, security restrictions, or circumstances outside our reasonable control.

Customers are responsible for supplying a complete and accurate shipping address. XS//SASS is not responsible for failed delivery, loss, delay, or return caused by an incorrect or incomplete address supplied by the customer.

Additional production and shipping charges may apply if merchandise must be reproduced or reshipped because of an address error.

Our Shipping Policy is incorporated into these Terms.

8. Digital Credentials and Access

Subject IDs, QR-enabled credentials, fragments, access codes, investigations, digital artifacts, Subject Index scores, clearance levels, division access, and related digital features are licensed for personal use. They are not sold as transferable property.

Unless expressly authorized by XS//SASS, digital credentials and access rights may not be:

• Sold or transferred
• Shared with another person
• Duplicated or reproduced
• Reverse engineered
• Manipulated to obtain unauthorized access
• Used to interfere with scoring, access, or security systems
• Used to impersonate another account holder

We may suspend, limit, or terminate accounts, credentials, access, or privileges associated with fraud, unauthorized transfer, attempted circumvention, scraping, harassment, interference, abuse, or violation of these Terms.

Digital features, investigations, scoring systems, clearance levels, story content, and access availability may evolve, change, or be discontinued.

9. Intellectual Property

The XS//SASS name, logos, seals, branding, trade dress, artwork, apparel designs, photographs, videos, text, narratives, lore, investigations, digital artifacts, website design, software, credentials, and other original content are owned by or licensed to Clinical Innovation Solutions, LLC.

No content may be copied, reproduced, modified, published, distributed, scraped, reverse engineered, resold, or commercially exploited without prior written authorization.

Purchasing merchandise or receiving digital access does not transfer ownership of any intellectual-property rights.

10. User Conduct

You may not:

• Use the website or services for unlawful or fraudulent activity
• Interfere with website operation or security
• Attempt to access another person’s account
• Attempt unauthorized access to systems or restricted content
• Introduce malware or harmful code
• Scrape, harvest, or systematically extract data or content
• Impersonate another person or entity
• Misuse credentials, access codes, QR codes, or digital features
• Infringe intellectual-property, privacy, publicity, or contractual rights
• Use XS//SASS merchandise or content to falsely claim an official government, military, intelligence, regulatory, or law-enforcement affiliation

11. Reviews and User Submissions

When you submit a review, image, comment, message, or other content to XS//SASS, you represent that you have the right to provide it and that it does not violate the rights of another person.

You grant XS//SASS a nonexclusive, worldwide, royalty-free license to display, reproduce, and use voluntarily submitted reviews and promotional content in connection with the XS//SASS business, subject to applicable privacy law.

We may remove submissions that are unlawful, abusive, misleading, infringing, irrelevant, or otherwise inappropriate.

12. Third-Party Services

The website may use third-party services for hosting, payment processing, manufacturing, fulfillment, shipping, analytics, advertising, account authentication, and other functions.

Third-party services may operate under their own terms and privacy policies. XS//SASS is not responsible for the independent conduct of third-party websites or services beyond what applicable law requires.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the website, merchandise, digital content, credentials, and services are provided “as is” and “as available.”

We do not guarantee that the website, account systems, credentials, or digital experiences will always be uninterrupted, secure, error-free, or continuously available.

Nothing in these Terms excludes warranties, remedies, or consumer rights that cannot legally be excluded.

14. Limitation of Liability

To the fullest extent permitted by law, Clinical Innovation Solutions, LLC and XS//SASS will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the website, merchandise, digital content, shipping, credentials, accounts, or these Terms.

Where liability cannot be excluded, our aggregate liability will not exceed the amount paid for the product or service directly giving rise to the claim, except where applicable law requires otherwise.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Clinical Innovation Solutions, LLC, XS//SASS, and their owners, personnel, contractors, and service providers from claims, losses, liabilities, and reasonable expenses resulting from your unlawful use of the website or services, your violation of these Terms, or your infringement of another person’s rights.

16. Suspension and Termination

We may suspend or terminate access to the website, an account, credential, or digital service when we reasonably believe these Terms have been violated or continued access presents a security, fraud, legal, or operational risk.

Provisions concerning intellectual property, liability, dispute resolution, and other provisions that logically survive termination will remain effective.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where mandatory consumer-protection laws require otherwise.

Any legal proceeding arising from these Terms must be brought in a court of competent jurisdiction in Texas, except where applicable law gives a consumer the right to bring a proceeding elsewhere.

18. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

19. No Waiver

Failure to enforce any provision of these Terms does not waive our right to enforce that provision or another provision in the future.

20. Changes to These Terms

We may revise these Terms periodically. The version published on the website at the time of use or purchase will apply, except where applicable law provides otherwise.
